Terms and Conditions of Sale
These terms and conditions specifically relate to the sale of the WDS One System.

1. Definitions
​
Buyer The person or company who buys or agrees to buy the goods from the Seller.
​
Conditions The terms and conditions of sale as set out in this document and any special terms and conditions agreed in writing by the Seller.

Goods The articles which the Buyer agrees to buy from the Seller.
​
Price The price for the Goods, excluding VAT and any carriage, packaging and insurance costs or any applicable import taxes or duties.

2. Conditions
​
2.1 These Conditions shall form the basis of the contract between the Seller and the Buyer in relation to the sale of Goods, to the exclusion of all other terms and conditions including the Buyer’s standard conditions of purchase or any other conditions which the Buyer may purport to apply under any purchase order or confirmation of order or any other document.
2.2 All orders for Goods shall be deemed to be an offer by the Buyer to purchase Goods from the Seller pursuant to these Conditions.
2.3 Acceptance of delivery of the Goods shall be deemed to be conclusive evidence of the Buyer’s acceptance of these Conditions.
2.4 These Conditions may not be varied except by the written agreement of the Seller.
2.5 These Conditions represent the whole of the agreement between the Seller and the Buyer. They supercede any other conditions previously issued.
2.6 The Seller reserves the right to refuse service to anyone.

3. Price​
​
3.1 The Price shall be that as advertised on the purchase page starting at https://wds-checkout.com/one-start.aspx, or such other price as the parties may agree in writing or the price quoted on the Seller’s confirmation of order.
3.2 The Price is exclusive of VAT which shall be due at the rate in force on the date of the Seller’s invoice if the delivery address is in the UK.
3.3 All carriage and delivery costs shall be paid for by the Buyer and will be detailed on the Sellers confirmation of order.
3.4 All goods are dispatched from within the United Kingdom and the Seller operates a DDU (Delivered Duty Unpaid) policy. This means that for deliveries made outside the UK the Buyer is liable for the import duties, customs and local sales tax levied in that country.

4. Payment
​
4.1 Payment is normally collected at the point of sale from the website where the process starts at https://wds-checkout.com/one-start.aspx.
4.2 Alternatively, there might be a direct negotiated purchase directly with the Seller. In such a case full negotiated payment is required before the goods are dispatched to the Buyer.
4.3 The Seller may withhold the goods and/or terminate this Agreement if the price is not received from the Buyer in full, in cleared funds.
4.4 All prices are in GBP pounds (£). Pricing is subject to change without notice and does not include shipping and handling unless otherwise indicated on the order confirmation.
4.5 If payment is made via a bank transfer, all related bank transfer fees (Buyer and Seller) are the responsibility of the buyer.

5. Warranties
​
5.1 The Seller warrants that the Goods are guaranteed to function without failure for a period of three years from the shipment date. The Seller does not guarantee the performance of its products in applications for which they may not be appropriate. In the unlikely event of a malfunctioning unit, the Seller must be contacted for a Return Material Authorization (RMA) number prior to return shipment. The Buyer has the right to return the Goods to the Seller by ground transportation freight prepaid. The Seller will promptly repair or replace the goods, at its sole discretion, and return to the customer by ground transportation prepaid. Repaired or replaced goods will carry the remainder of the original warranty.
5.2 The warranty is only applicable to the original purchaser of the Goods from the Seller. This warranty shall not apply to any Goods that have been sold in lieu of a warranty or have been subjected abuse, mishandling or modification.
5.3 This warranty does not apply in cases where the unit has been dropped, squashed, come into contact with a liquid, been subjected to any kind of electrical power surge or excess, or any other kind of damage through external influence.

6. Delivery policy
​
6.1 Delivery of the Goods shall be made to the Buyer's address. The Buyer shall make all arrangements necessary to take delivery of the Goods on the day notified by the Seller for delivery.
6.2 The Seller undertakes to use its reasonable endeavours to despatch the Goods on an agreed delivery date, but does not guarantee to do so. Time of delivery shall not be of the essence of the contract.
6.3 The Seller shall not be liable to the Buyer for any loss or damage whether arising directly or indirectly from the late delivery or short delivery of the Goods. If short delivery does take place, the Buyer undertakes not to reject the Goods but to accept the Goods delivered as part performance of the contract.
6.4 If the Buyer fails to take delivery of the Goods on the agreed delivery date or, if no specific delivery date has been agreed, when the Goods are ready for despatch, the Seller shall be entitled to store and insure the Goods and to charge the Buyer the reasonable costs of so doing.
6.5 Since the Covid lockdown we have experienced some interruptions to our access to raw components and this is affecting our regular delivery timescales. We currently state that orders will be despatched within 28 days of order. If we estimate that deliveries would be longer than this then we mark the item as unavailable, although you are very welcome to contact us via sales@wds-global.com and state your wish to place an order for the item - we will advise on availability as best as we can. Delivery times are then down to the efficiency of the local courier service in the various parts of the world. When you buy a ONE system you will be provided with the tracking number when the package has been collected from our premises. Tracking numbers for our products are used to help us locate the status of a package if it is taking longer than expected, but we will provide them to customers beforehand if requested to do so.

7. Returns, cancellation, refund policy
​
If you are a UK customer you have a statutory right to cancel your order for a short time. You may do this by sending by post, fax or email a WRITTEN notice of cancellation to:

stating your full name and address and other information sufficient to identify your order. Please also tell us WHY you are returning the goods, and your telephone number in case we have a question. You have until the expiry of SEVEN WORKING DAYS (i.e. excluding Saturday, Sunday, bank holidays and public holidays), starting with the day after the products are delivered, to exercise this right.
Before returning the product, please wait for World Development Systems to provide you with an RMA (return material authorisation) number that will help us track your return and make sure you receive your refund as soon as possible.
If you exercise your right to cancel then any money that you have paid for your order will be refunded, apart from your expense of returning the products as mentioned below.
If you wish to exercise your right to cancel, you must also:

take reasonable care of the products until you return them; and

ship the product to us in its original packaging at your expense or risk.

8. Broadcast Server policy
​
There is an integral cloud-based component developed and maintained by the Seller which transmits the programs used by the One system. This is the WDS Broadcast Server and it also services the following other WDS services/systems:

Resonance Key (plasma)

Mobile phone service (not currently referenced on our websites)

The events of 2020 have demonstrated that the perceived stability of what is "normal" in our society cannot be relied upon, such as climactic or biological factors. We will always endeavour to keep our broadcast services operational and, where appropriate, to maintain websites or other method to allow for configuration of those services (e.g. change of programs).
That said, we must make a legal statement that we cannot be held liable for any circumstances which could or do arise from a failure to maintain the live running of the broadcast server. Possible reasons for this are exemplified by, but not limited to:

impairment (e.g. "Covid", accident, other illness) or unavoidable unavailability of key WDS staff
-
local issues which prevent operation of the broadcast server infrastructure, such as social upheaval, damage, loss of electricity or Internet services
-
damage to the Seller's infrastructure
-
inability of the Seller to trade due to the ongoing collapse of the world economy or alien invasion (whether genuine or faked)
-
hostile actions by governmental action or other supposed official bodies
-
interruption to service of the Microsoft Azure cloud platform, upon which the One system back-end is hosted. During these volatile days the Azure platform is occasionally being subjected to DDoS (Distributed Denial of Service) attacks by dark forces.
WDS have resources in place to initiate an alternate broadcast service as soon as possible should any kind of interruption occur, as described above. Your continued use of our broadcasting service and the operability of all affected devices and services indicates your acceptance of our policy of non-liability.
